SimpleCerts Terms of Service

Last Updated: [DATE] | Effective: These Terms are effective immediately upon posting and govern all use of SimpleCerts.

These Terms of Service ("Terms") govern your use of SimpleCerts, a software-as-a-service platform provided by SimpleApps, LLC ("we," "us," or "our"). By subscribing to or using SimpleCerts, you ("Customer" or "you") agree to these Terms.

1. Service & Subscription

What We Provide: SimpleCerts is a cloud-based certification management platform accessible via web browser.

Subscription Model: You pay an annual membership fee that includes unlimited users and unlimited storage. Additional usage fees may apply as specified during signup or in your account dashboard.

Term: Your subscription and license automatically renew annually unless you cancel at least 30 days before renewal. We may change pricing with 30 days' notice for future renewal periods.

2. Your Responsibilities

• Provide accurate account information and keep it updated

• Maintain the security of your login credentials

• Use SimpleCerts only for lawful business purposes

• Don't reverse engineer, copy, or redistribute our software

• Don't try to hack, disrupt, or overload our systems

• Don't upload illegal, harmful, or infringing content

3. Our Rights

We may:

• Modify SimpleCerts features at any time

• Suspend your access for violations of these Terms

• Terminate accounts for non-payment or misuse

• Monitor usage to ensure system security and performance

4. Data & Privacy

Your Data: You own all data you upload to SimpleCerts. We never claim ownership of your content, files, or information.

Our License: You grant us only the limited rights necessary to provide SimpleCerts to you (storing, processing, and displaying your data back to you).

Our Use: We may create anonymized, aggregated statistics that don't identify you or your data, but we won't share your actual data with third parties except as needed to provide the service or as required by law.

Data Export: You can export your data at any time. Upon termination, we'll delete your data within 30 days unless legally required to retain it.

Confidentiality: Both parties will keep confidential information private during and for 2 years after the relationship ends.

5. Payment & Refunds

• Annual membership fees and usage fees are non-refundable

• All fees are due in advance as specified in your account

• Late payments incur 1.5% monthly interest

• We may suspend service for non-payment

• You're responsible for all taxes except our income taxes

6. NO WARRANTIES - TOOL FOR REFERENCE ONLY

SIMPLECERTS IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

IMPORTANT: SimpleCerts is a document comparison tool only - not an insurance verification service. You must independently verify all insurance information.

We don't guarantee:

• Accuracy of document analysis or comparisons

• That insurance coverage is adequate for any purpose

• Detection of all coverage gaps or policy issues

• That contractors with "approved" insurance are actually covered

• Uninterrupted or error-free service

• That SimpleCerts will meet your specific needs

• That your data will be 100% secure or backed up

• Any particular uptime or availability

Your Responsibility: You are solely responsible for making final insurance adequacy decisions and contractor approvals. Never rely solely on SimpleCerts analysis.

7. NO LIABILITY - COMPLETE DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

A) ABSOLUTE ZERO LIABILITY: SimpleApps has NO LIABILITY WHATSOEVER for any claims, damages, losses, or expenses arising from or related to your use of SimpleCerts, regardless of the cause, theory of liability, or our negligence.

B) DOCUMENT ANALYSIS ONLY: SimpleCerts is strictly a document comparison and analysis tool. We do not verify, validate, or guarantee the authenticity, accuracy, or current status of any insurance documents, policies, or coverage.

C) NO INSURANCE VERIFICATION: We are not an insurance verification service. We cannot and do not determine if insurance policies are active, cancelled, fraudulent, or provide adequate coverage for any specific job or risk.

D) FRAUD AND MISREPRESENTATION: We have zero liability for insurance fraud, forged documents, cancelled policies, or any misrepresentation by contractors or suppliers about their insurance status.

E) WORKPLACE INCIDENTS: We have ZERO LIABILITY for any accidents, injuries, deaths, property damage, or other incidents that occur at job sites, construction sites, or any work location, regardless of whether SimpleCerts was used in the contractor selection or approval process.

F) BUSINESS DECISIONS: We are not liable for any business decisions you make based on SimpleCerts output, including contractor hiring, job approvals, insurance adequacy determinations, or risk assessments.

G) THIRD-PARTY CLAIMS: We are not liable for any claims by injured parties, insurance companies, regulatory agencies, or any other third parties arising from incidents involving contractors whose documents were processed through SimpleCerts.

H) COMPLETE WAIVER: You waive and release SimpleApps from any and all liability, claims, demands, and causes of action related to: insurance coverage disputes, contractor negligence, workplace safety violations, regulatory compliance failures, or any damages whatsoever.

I) YOUR SOLE RESPONSIBILITY: You are solely responsible for independently verifying all insurance information, making coverage adequacy decisions, ensuring contractor compliance, and maintaining workplace safety.

J) TIME LIMIT: Any legal claims must be brought within 30 days of when the issue first occurred.

K) NO CLASS ACTIONS: All disputes must be resolved individually - no class actions or group lawsuits.

8. Customer Indemnification & Hold Harmless

COMPLETE INDEMNIFICATION: You agree to indemnify, defend, and hold SimpleApps completely harmless from ANY and ALL claims, lawsuits, damages, losses, costs, and expenses (including attorney fees), regardless of merit, arising from or related to:

• Workplace accidents or incidents involving contractors whose documents were processed through SimpleCerts

• Insurance fraud, forgery, or misrepresentation by contractors or suppliers

• Cancelled, expired, or inadequate insurance policies that SimpleCerts analyzed

• Your reliance on SimpleCerts analysis for any business decisions

• Regulatory violations or compliance failures by contractors you approved

• Third-party claims from injured parties, insurance companies, or regulatory agencies

• Your use of SimpleCerts for any purpose whatsoever

• Any content you upload to SimpleCerts

• Your violation of these Terms or applicable law

ABSOLUTE INDEMNIFICATION: This indemnification applies even if SimpleApps was allegedly negligent, our software contained errors, or we failed to detect problems with insurance documents. You assume ALL risk and responsibility for using SimpleCerts as a business tool.

9. Termination

Either party may terminate with 30 days' written notice. We may terminate immediately for non-payment or Terms violations. Upon termination:

• Your access ends immediately

• You'll pay any outstanding fees

• Each party returns or destroys confidential information

• Sections 6-12 survive termination

10. Dispute Resolution

Governing Law: Florida law governs these Terms.

Arbitration: All disputes will be resolved through binding arbitration in Florida under American Arbitration Association rules. No jury trials.

Exceptions: Either party may seek injunctive relief in court for intellectual property or confidentiality violations.

11. General Terms

Changes: We may update these Terms at any time by posting new versions on our website. The current Terms posted at simplecerts.ai/terms govern your use of SimpleCerts, regardless of when you first subscribed. Your continued use after changes constitutes acceptance.

Assignment: We may assign these Terms; you may not without our consent.

Entire Agreement: These Terms are the complete agreement and supersede all prior agreements.

Severability: If any provision is invalid, the rest remains in effect.

Force Majeure: We're not liable for delays due to events beyond our reasonable control.
